General Information About Your LLC

When you name your limited liability company you may use whatever name you like, but it must be unique within the State of Michigan. (Don't worry, we will check to make sure it is available.) Enter the name EXACTLY as you want it to appear. The name must also end in "LLC", "L.L.C." or "Limited Liability Company".If the name you want is not available, we will contact you for an alternate name.

Members are Owners

The owners of a limited liability company are called Members.  Each Member owns a percentage of the company and the total ownership of all members must equal 100%.  If you want to have more than six members, please let us know.

Who is Responsible for Taxes?

The IRS requires every limited liability company to designate a person who is responsible for all tax matters related to the LLC.
This does not have to be a member of the LLC, but most limited liability companies have a Member take care of this.

How Should Your Limited Liability Company be Taxed?

Tax Election: You get to choose how your LLC is taxed.

Most single member LLCs choose "Sole Proprietor".
Most multi member LLCs choose "Partnership".
If you plan to have employees or if your accountant told you that you should be an employee of your LLC, choose "Corporation".

It is a good idea to discuss this with your accountant.  If you are not sure, but want to complete the process, choose "Sole Proprietor" or "Partnership" and then contact your accountant to determine the correct choice.

If you choose Sole Proprietor or Partnership, you will have 75 days to change your election to Corporation if needed.

The Resident Agent is the primary contact person for the Limited Liability Company.  This is the person that will receive mailings and official notices for the LLC.  This can be the same person who is responsible for taxes, but it does not have to be.
